Terms of service Draft

KAREOKIE (the "Service") is provided by Louis Hsu ("we"). By using the Service you agree to these Terms.

1. The Service

  1. The Service is a karaoke scoring app that runs on your computer (song import, vocal separation, lyrics tools, singing and scoring) plus an account server used to sign in, confirm your entitlement and run the leaderboards.
  2. To find lyrics and readings, the App searches public third-party services from your computer (see "Lookups from your computer" in the Privacy Policy). We do not run those services and do not guarantee what they return.

2. Your account

  1. The main features require signing in with a Google account. Keep your Google account secure and its details accurate.
  2. One account can be signed in on up to 3 devices at a time. To add another, sign one out first.
  3. The App stays connected to our server in real time to confirm your entitlement, and verifies and uploads its score records at least every 1 hour. If it cannot verify for more than 1 hour, features such as importing and scoring pause until it reconnects; a song already being sung may finish.
  4. Accounts may not be transferred, lent or shared.
  5. The App sends us automatic crash reports. This is part of using the Service and can't be switched off; the Privacy Policy describes what a report contains and how long it is kept.
  6. Linking a Discord account is optional. Benefits on the KAREOKIE Discord server are offered as they are and may change; if you link it, your ranking title is shown there as a role (section 4a), and the daily play limit in item 7 no longer applies while you stay on that server. What you do there is also subject to Discord's terms.
  7. A free account that is not on the KAREOKIE Discord server can start up to 10 songs a day. Each time a song starts playing from the beginning counts, a restart included; resuming after a pause does not. Linking your Discord account and staying on the KAREOKIE Discord server removes the limit; if you leave the server, it applies again. The day follows your device's time zone. We may change the number and will announce it in the App.

3. Plans and fees

  1. Every feature is currently free. Without Discord, singing is limited to a number of songs a day (section 2, item 7).
  2. Paid plans may be offered later. Prices, billing periods, refunds and cancellation will be shown clearly before purchase; payments, tax and invoices are handled by our payment provider (for example Paddle or Lemon Squeezy) under its terms.
  3. We may change what the free plan includes and will announce significant changes in the App in advance.

4. Your responsibilities and prohibited use

  1. You are responsible for having the rights to any content you import, play or process with the Service (for example videos, songs and lyrics). Unless agreed otherwise in writing, the Service is for personal, non-commercial use only.
  2. You must not: decompile, disassemble or reverse-engineer the App, or extract, reconstruct, copy or redistribute its code, whether by hand or with automated or AI tools, except where the applicable law expressly allows it despite this restriction; tamper with the entitlement mechanism or bypass the device limit; access our servers with automated bulk traffic; disrupt the Service; or use it in a way that breaks the law or infringes others' rights.
  3. The App, its code and its design are protected by copyright and other laws and belong to the operator (Louis Hsu). All rights not expressly granted in these Terms are reserved: you receive a personal, non-exclusive, non-transferable right to use the App, not ownership of it or of its code.

4a. Leaderboards

  1. Finished songs upload a score record used for the leaderboards and play counts (see the Privacy Policy for its content). Taking part in the leaderboards is part of using the Service: by using it you agree that your scores are listed on them.
  2. You can set your leaderboard name or appear as "Anonymous". Scores can't be removed from the leaderboards: a score you delete in the App stays on them as "Anonymous". Runs sung with the guide vocal audible are listed but never ranked. Song play counts are always counted anonymously. If you chose to stay off the score rankings under the previous version of these Terms, your scores (earlier ones included) return to the leaderboards once you accept this version and version 5 of the Privacy Policy.
  3. Scores from App versions before V2 are on an earlier score scale and are kept on separate "earlier scores" boards. When two people sing on two microphones, only microphone 1's score (the main singer's) can go on the leaderboards.
  4. Each month the best singers on V2-scale scores get a ranking title (top 1 %, 5 % or 15 %), and each title leaves a permanent badge; the Privacy Policy describes how it is worked out. Titles and badges have no monetary value and can't be transferred, and we may change how they are worked out.
  5. Leaderboard names and public member nicknames must not impersonate others or be discriminatory, obscene or infringing; we may hide them.
  6. Faking, altering or generating scores automatically is not allowed. We may mark, hide or delete suspicious scores, remove titles and badges earned with them, and suspend the accounts involved.
  7. "Today" and "this week" on the leaderboards are counted in Coordinated Universal Time (UTC).

4b. Your content and rights

  1. KAREOKIE sells software features, not music. A plan (free or paid) gives you the use of the App's features only; it does not include a license to any third-party song, recording, video or lyrics.
  2. You bring your own content. Before you import or process content, you confirm that you have the necessary rights, licenses or other lawful basis for that content and for the processing you choose (for example vocal separation, lyrics alignment and scoring), and that you obtained it in line with the terms of the service it came from (the "rights acknowledgement"). The App asks for this when you first sign in, again when we update the statement, and the first time you use each import source (for example a source extension or files on your computer).
  3. Import and scoring stay unavailable until you have given the current rights acknowledgement; browsing your library and changing settings keep working.
  4. We keep a record of each acknowledgement, of your acceptance of these Terms and of the Privacy Policy (what you agreed to, which version and language, and when); see "Consent records" in the Privacy Policy.
  5. If a rights holder tells us that content was used without permission, we may ask you about it and may suspend the features involved or your account (section 6).

5. Changes, suspension and updates

  1. We may suspend all or part of the Service for maintenance, security or other necessary reasons and will try to announce it in advance.
  2. Older App versions may stop being supported; you will then need to update to keep using the Service.

6. Suspension and termination

  1. You can delete your account in the App at any time.
  2. We may suspend or close your account if you break these Terms.
  3. Deleting or suspending an account does not delete the songs and records on your computer, but features that need an entitlement will stop working.

7. Disclaimer and limitation of liability

  1. The Service is provided "as is". We do not guarantee that it will be uninterrupted or error-free, or that scores are accurate.
  2. To the extent permitted by law, we are not liable for indirect, incidental or consequential damages arising from use of or inability to use the Service, and our total liability is limited to the amount you actually paid us in the 12 months before the event. Mandatory consumer protections that apply where you live are not affected.

8. Changes to these Terms

We will update the date on this page when these Terms change and announce significant changes in the App. When a change affects what you agreed to, the App asks you to accept the new version. Continuing to use the Service after a change means you accept it.

9. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan), and the Taiwan Taipei District Court is the court of first instance, without prejudice to mandatory consumer protections under the law of your place of residence.
